Terms of Service

These Terms govern use of Shldon, an early-access AI observer room that helps groups surface weak assumptions, hidden tension, and clearer next moves.

1. Agreement

By accessing or using Shldon, you agree to these Terms and our Privacy Policy. If you use Shldon for an organization, you represent that you have authority to bind that organization.

2. Early-Access Service

Shldon is currently an early-access product. Features may change, pause, fail, or be discontinued. We may limit rooms, participants, duration, usage, integrations, or access to protect quality, safety, cost, or compliance.

3. Accounts, Invites, and Rooms

  • You are responsible for invite links, room access, and participant behavior.
  • Only invite people who are allowed to join the discussion.
  • Do not misrepresent your identity or use another person’s email without permission.
  • Do not use Shldon to record, monitor, or analyze people without required notice or consent.

4. Customer Content

You keep ownership of content you submit to Shldon. You grant Shldon a worldwide, non-exclusive license to host, process, transmit, display, analyze, and generate outputs from that content as needed to provide, secure, support, and improve the service.

You are responsible for ensuring that you have the rights, permissions, and notices needed to submit content and invite participants.

5. AI Output

Shldon output is generated by AI and may be incomplete, inaccurate, biased, or unsuitable for a particular decision. Outputs are not legal, medical, financial, security, employment, compliance, or professional advice. You are responsible for human review and final decisions.

6. Acceptable Use

You may not use Shldon to:

  • Violate laws, privacy rights, intellectual property rights, or employment obligations.
  • Upload highly confidential, regulated, or sensitive data without a written agreement.
  • Generate harassment, discrimination, threats, deception, malware, or unlawful surveillance.
  • Reverse engineer, scrape, overload, interfere with, or bypass the service.
  • Use outputs for automated high-impact decisions about people without appropriate human review.

7. Third-Party Services

Shldon may rely on third-party hosting, analytics, email, security, database, and AI providers. Their systems may affect availability, latency, and data handling. We are not responsible for third-party services outside our control.

8. Intellectual Property

Shldon, its product design, software, brand, and service materials are owned by Shldon or its licensors. These Terms do not grant you rights to our brand, code, models, trademarks, or product materials except as needed to use the service.

9. Suspension and Termination

We may suspend or terminate access if we believe use is unsafe, unlawful, harmful, abusive, commercially unreasonable, or inconsistent with these Terms. You may stop using Shldon at any time.

10. Disclaimers

Shldon is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, Shldon will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities. Our aggregate liability for all claims will not exceed the greater of amounts paid to Shldon for the service in the three months before the claim or USD $100.

12. Indemnity

If you use Shldon on behalf of an organization, that organization will defend and indemnify Shldon against claims arising from your content, your use of the service, or your violation of these Terms or applicable law.

13. Governing Law and Disputes

Until a formal entity and jurisdiction are published, disputes will be handled in good faith through informal resolution first. Contact legal@shldon.com with any dispute notice. Future enterprise or paid terms may specify a governing law, venue, arbitration process, or data processing addendum.

14. Changes

We may update these Terms as Shldon evolves. Material changes will be posted on the website or communicated through reasonable product or email notice.
